What Happens when we Exchange Contracts? ‘Exchange’ is the term we use to identify the time at which the buyer and seller of real estate become contractually bound to the Contract for Sale of Land. By this time, both the vendor and the purchaser have signed the original and counterpart contracts. Someone else, often the real estate agent, or the buyer and/or seller’s solicitor, ‘exchanges’ the contracts, ensuring that each contract is identical to the other. The vendor then retains the contract signed by the purchaser and the purchaser retains the contract signed by the vendor. Contracts may be exchanged subject to what is called a ‘cooling off period’, or with what is called a ‘section 66W Certificate’. Q: What is a cooling period? A: By law purchases has the right of a cooling period of 5 business days within which to withdraw from the Contract after the exchange has taken place. This period gives the purchasers a chance to seek legal advice, obtain loan approval and carry out searches and enquiries as necessary to help them decide whether to proceed with the purchase. The cooling period may be waived if the purchaser sees a solicitor prior to signing the Contract. The cooling off period may be shortened or extended either by a clause in the contract or by agreement between both parties.
