The Country Inns & Suites Nash Next Fan Favorite Giveaway Promotion (the “Promotion”) is not a sweepstakes, lottery or contest of any kind. As a condition to participating in this Promotion, you agree to the following Terms and Conditions (these “Terms”). 1. Eligibility. To be eligible to participate in the Promotion, you must be a legal resident of the 50 United States and the District of Columbia at least 18 years of age (or the age of majority under the laws of your state of residency, if older), and be a follower of the Country Inns & Suites (“Sponsor’s) Facebook official account using your own personal account. If you do not have an account, go to the applicable platform and follow the instructions to create your own account. To participate, you must have your account settings set to allow public viewing of your posts. Void where prohibited or restricted by law. Employees, officers, directors, representatives and agents of Sponsor, and its parents, subsidiaries, franchisees and affiliates, and their immediate families and those living in their same household (whether or not related) are not eligible to participate. 2. Timing. The Promotion will be conducted on Monday, October 30, 2017 starting at 12am CST and ending on 11:59pm CST (or until the supply of Promotion giveaway items is exhausted, whichever occurs first) (the “Promotion Period”). 3. How to Participate; Notification. During the Promotion Period, visit Sponsor’s Facebook official account and look for Sponsor’s public post inviting participants to participate in the Promotion. Follow the instructions on the post(s) for participation (including, without limitation, required use of the required hashtag(s) in your response, #promotion#NashNext. Participants to fully complete the participation requirements will be eligible to receive one (1) giveaway item in this Promotion. LIMIT: One (1) giveaway item per Participant in this Promotion. A potential recipient must comply with all terms and conditions of these Terms. A potential recipient will be notified by direct message on the social media platform on which the participant participated, and must provide a confirming email address to which giveaway item information may be sent and recipient may be confirmed. If a potential recipient cannot be reached by direct message and/or if a potential recipient does not provide the required confirming email address and information, in each case, within 24 hours of first notification attempt, or if a participant is ineligible or otherwise not in compliance with these Terms, an alternate recipient may be determined or the giveaway item may not be awarded, as determined by Sponsor in its discretion. Unclaimed giveaway items will not be awarded or distributed. By participating in this Promotion, each participant fully and unconditionally agrees to be bound by and accepts these Terms, and the decisions of Sponsor and its representatives (including, without limitation, decisions regarding eligibility of participants and participation, the verification of participants, and the awarding of giveaway items), which are final and binding in all respects. 4. Promotion Giveaway Items. Subject to these Terms, up to ten (10) giveaway items will be given away by Sponsor on each of the two (2) daysof this Promotion, for a total of twenty (20) giveaway items during the Promotion Period. A giveaway item consists and is limited to Country Inns & Suites’ stainless steel tumbler. Approximate retail value (“ARV”) of a giveaway item is ________ dollars ($_______) and the total ARV of all giveaway items in this Promotion is __________ dollars ($_______). Allow a minimum of two (2) weeks for delivery of giveaway item. Giveaway items are nontransferable, nonassignable, nonnegotiable, and are not redeemable for cash or credit. Giveaway items must be accepted as awarded. Giveaway items are awarded “AS IS” with no warranty, representation, or guarantee, express or implied, in fact or in law, made by Sponsor or for which Sponsor shall be liable, including, without limitation, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No giveaway item substitutions, except by Sponsor, who reserves the right to substitute a giveaway item with another giveaway item of equal or greater value if the giveaway item is not available for any reason as determined by Sponsor in its sole discretion. Recipient is solely and fully responsible for any and all costs, fees, taxes, assessments and expenses associated with giveaway item award, redemption, receipt and use, including, without limitation, all federal, state and local taxes on the giveaway item. If by reason of printing, mechanical, technical, human or other error, more giveaway items are claimed in this Promotion than the number of giveaway items set forth above, the stated number of giveaway items will be awarded on a first come first served basis. No more than the stated number of giveaway items above will be awarded in this Promotion. 5. General. By participating in the Promotion, participants agree to release and hold Sponsor and its parents, subsidiaries, franchisees, affiliates, and their respective directors, officers, employees, successors and assigns, harmless from and against any and all claims and liability arising out of Promotion, including participation and (if applicable) acceptance/use of the giveaway item or activity. Participants assume all liability for any injury or damage caused (including death), or claimed to be caused by participation in this Promotion or acceptance/use of any giveaway item or activity. Except where prohibited law, by accepting a giveaway item, a recipient consents to the use of his/her name, photo and/or likeness, biographical information, participation materials and statements attributed to participant for advertising and promotional purposes without notice, attribution or compensation. Any personal information supplied by you to Sponsor will be subject to Sponsor’s Privacy Policy https://www.countryinns.com/section/privacy.home/privacy.sidemenus. Sponsor reserves the right, in its sole discretion to modify, terminate or suspend this Promotion for any reason. Each participant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or any giveaway items awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in Minneapolis, Minnesota; participant submits to sole and exclusive personal jurisdiction to said courts in the State of Minnesota for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with participating in this Promotion but in no event attorneys’ fees; and (c) under no circumstances will participant be permitted to obtain awards for and participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of participant or Sponsor in connection with the Promotion shall be governed by, and construed in accordance with, the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of Minnesota, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Minnesota. Sponsor’s failure to enforce any term of these rules does not constitute a waiver of that provision. 6. Sponsor.
